Mutual Nondisclosure Agreement

Solve confidentiality concerns for both you and potential clients as you explore new projects

When exploring new projects, sometimes both you and your potential client have to share trade secrets and other confidential information before deciding whether to move forward.

But you don’t want your client using or exposing your confidential information . . . and they don’t want you to use or expose theirs, either!

With a mutual nondisclosure agreement, or mutual NDA, you can solve confidentiality concerns for both you and your client by agreeing beforehand exactly how your confidential information can (and can’t) be used.

Many clients will have their own mutual NDA . . . but that means you’ll have to put time, money, and energy into having a lawyer review it for you.

But when you have a mutual NDA of your own, you’ll know exactly what’s in it and can skip the hassle and expense of reviewing someone else’s form!

With this customizable template & training, I’ll walk you through creating a mutual NDA you can use in your business right away.

It’s a must-have whether you’re an entrepreneur, consultant, freelancer, or other solo professional services provider.

Since I’m a licensed business and technology lawyer with extensive experience, you can be sure you’re getting reliable information from a knowledgeable source. If you can’t hire a lawyer directly . . . this is the next best thing.

Completing the entire course typically only takes 1-2 hours. When you’re finished, you’ll have a fully customized mutual NDA ready for signature!

Frequently Asked Questions

  • For most entrepreneurs, consultants, coaches or professional services providers, these are the primary legal documents you will need. There are certain exceptions, such as if you have very non-standard services and/or provide services in a highly regulated area (for example, you are a physician who consults for pharmaceutical companies), you might need additional templates (or customization). Another example would be if you are a software developer and have created commercial software (i.e. just like Adobe Acrobat, Microsoft Word) that you license to customers without providing any services to them. In this instance, you would also want a software license agreement.

  • To customize these legal templates, you simply fill in the details where indicated, and they are ready to go. Everything you need to complete will be highlighted in yellow, and we provide the template in Word so you can easily edit it. Plus, each customizable contract template includes a detailed video “walk-through” of the template.

While you are always free to engage a local attorney if you wish, the purpose of our contract templates with video resources and other products is to equip consultants and professional services providers with quality templates that they easily customize themselves and use in their business right away.

  • The templates are based on US legal principles. While most of the language is applicable in other countries, there are likely some terms which may need localizing.

  • For most coaches, consultants and professional service providers, the templates should not need any further customization. If your industry is highly regulated (such as medical consulting, or power plant design), then additional customizations might be required.

  • The founder of HTBiz Law has been an attorney for more than 25 years, including 15 years at one of the largest global law firms. During that time, she drafted and negotiated literally thousands of contracts for hundreds of clients ranging from individual professional services providers all the way up to world-wide consulting firms and Fortune 25 corporations, and worked on more than $6 BILLION USD in transactions. She developed and refined these templates based on everything she learned from all of those client representations and every contract she worked on. These legal templates represent literally thousands of hours of legal experience.

  • You can use these templates as soon as you customize them and replace the HTBiz Law branding with you own company logo. The HTBiz Law branding must stay on the original template, but when you customize it for your business, then you should make it be your brand since the Bootcamp is not your attorney.

  • Each module will walk you through the relevant template, including an explanation of the purpose of the template, the key terms, and the places where you need to customize them to fit your business.

  • Each Customizable Contract Template with Video Resources will include both a Word format and PDF format download of the relevant template.  That way you can easily edit the Word version but you won't risk losing any of the notes and instructions which are safe in the PDF.

  • The Customizable Contract Templates with Video Resources and other products are specifically designed for people who are not lawyers. Each one presents the information in a “plain English” (as much as possible) business-focused manner.

  • If you have technical problems accessing the course and/or downloading the templates, you can send an email to contact@htbizlaw.com. Unfortunately, we cannot provide specific personal legal advice for our templates.  However, if you want “Done For You” services or personal legal advice, you can become a regular client of HTBiz Law by entering into an engagement letter, and we can create custom contracts for your business.  If you are not sure what you need, you can always book a consult with Sharon by clicking HERE.

  • As soon as you purchase a Customizable Contract Template with Video Resources you will be taken to a web page which will have the links to the downloadable contract template, the video resources as well as other information.

  • It should take you less than an hour to watch the video resources and customize your contract template. Some templates are a little quicker, some may be a little longer.

  • Unfortunately, due to the fact that the contract templates are immediately downloadable by you in an unlocked Word format, all sales are final. Once you’ve downloaded these templates that we’ve spent hours of time and expertise creating - and which literally represent thousands of hours of legal experience - they’re downloaded and we cannot get them back from you.

  • Yes. Working one-on-one with you to help you negotiate contracts is not part of the Customizable Contract Templates with Video Resources , but it is a service we offer. To take this service up, you will need to enter into an engagement letter with the HTBiz Law. Please contact us directly at contact@htbizlaw.com and we will be happy to assist you.
